Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of Board ROI ("boardroi," "we," "us," or "our"), a B2B SaaS platform for measuring, reporting, and proving AI tool return on investment. By creating an account, accessing the Service, or using the Service on behalf of a company, you agree to these Terms and represent that you have authority to bind that company.

The Service is intended for business use only and is not intended for consumers, children, or personal household use.

2. Service Description

Board ROI helps finance, operations, and leadership teams measure AI tool adoption, usage, cost, productivity impact, and estimated ROI. The Service may connect to third-party AI tools, developer tools, finance systems, or other platforms authorized by you; process usage, cost, and operational metrics; generate ROI calculations; and create board-ready summaries, dashboards, exports, and PDF reports.

boardroi provides analytical and reporting tools. It does not provide accounting, investment, tax, legal, audit, or financial advice. You are responsible for reviewing all outputs before relying on them in board materials, investor updates, financial statements, or business decisions.

3. Accounts and Access

You must provide accurate account and company information. Authentication may be provided by magic link, email-based login, or other supported methods. You are responsible for all activity under your account and for maintaining the security of your email account, workspaces, API keys, and authorized integrations.

You must promptly notify us at hello@boardroi.com if you believe your account, credentials, or integrations have been compromised.

4. Customer Data

"Customer Data" means business data, usage metrics, cost data, company information, API credentials, financial inputs, generated reports, and other information submitted to or processed through the Service by you or on your behalf.

As between you and boardroi, you retain all rights in Customer Data. You grant boardroi a limited, non-exclusive, worldwide license to host, process, transmit, display, and use Customer Data only as necessary to provide, secure, support, improve, and maintain the Service, comply with law, and enforce these Terms.

We do not sell Customer Data. We do not use Customer Data to train third-party foundation models. We do not intentionally disclose Customer Data except as described in these Terms, our Privacy Policy, a data processing agreement, or as required by law.

5. AI-Generated Outputs

The Service may use AI models to generate explanations, summaries, narratives, report language, classifications, or recommendations ("AI Outputs"). AI Outputs may be incomplete, inaccurate, or inappropriate for a particular use case. You are responsible for validating AI Outputs, calculations, assumptions, and report language before using them.

You should not submit regulated, highly sensitive, or legally restricted data unless your plan, settings, and written agreement with us expressly permit that processing. You are responsible for ensuring that you have all necessary rights, permissions, and notices to provide Customer Data to the Service.

6. Security

boardroi uses commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data, including encryption in transit, restricted production access, authentication controls, monitoring, and encryption at rest for sensitive credentials where supported. No online service is completely secure, and we do not guarantee that unauthorized access, disclosure, loss, or misuse will never occur.

You are responsible for configuring integrations securely, limiting the scope of API keys, rotating credentials when appropriate, and granting access only to authorized personnel.

7. Acceptable Use

You may not use the Service to:

• violate applicable law or third-party rights;
• process data that you are not authorized to access or share;
• upload malware, exploit code, or harmful content;
• attempt to reverse engineer, scrape, overload, or disrupt the Service;
• circumvent usage limits, access controls, billing systems, or security measures;
• use the Service to create competing datasets, benchmarks, or products without permission;
• submit secrets, credentials, or confidential data except through approved secure fields.

8. Third-Party Services

The Service may rely on third-party providers for hosting, database, authentication, storage, AI model processing, email delivery, payments, analytics, and infrastructure. These providers may include Supabase, Vercel, Google, Resend, Whop, and other subprocessors listed in our Privacy Policy or security documentation.

Your use of third-party integrations may also be governed by the terms and privacy policies of those third parties. boardroi is not responsible for third-party platforms, APIs, outages, policy changes, rate limits, data errors, or pricing changes.

9. Payment and Subscriptions

Subscription billing, checkout, membership access, and payment management may be handled through Whop or another payment provider. By subscribing, you authorize recurring charges according to the selected plan and agree to the applicable payment provider terms.

Fees are billed in advance and are non-refundable except where required by law or expressly stated in a written order form. We may change pricing or plan features with reasonable notice. Failure to pay may result in suspension or termination of access.

10. Confidentiality

Each party may receive non-public business, technical, financial, product, or security information from the other party. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care. Confidential information does not include information that is public, independently developed, lawfully received from another source, or already known without confidentiality obligations.

11. Data Processing Agreement

If Customer Data includes personal data subject to GDPR, UK GDPR, or similar privacy laws, boardroi will process such personal data as a processor or service provider on your behalf, unless otherwise stated. For eligible business customers, a data processing agreement may be made available upon request or incorporated into an order form.

12. Intellectual Property

boardroi and its software, designs, dashboards, workflows, documentation, trademarks, and underlying technology are owned by boardroi or its licensors. Except for the limited right to use the Service during your subscription, no rights are transferred to you.

You may use reports and exports generated from your Customer Data for your internal business purposes, investor updates, board reporting, and customer-authorized commercial purposes, provided that you remain responsible for their accuracy and use.

13. Beta Features

We may offer beta, preview, experimental, or free features. These features may be changed, suspended, or discontinued at any time and may be subject to additional limitations. Beta features are provided as-is and should not be used for mission-critical workflows without independent verification.

14. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, create security or legal risk, misuse the Service, or if required by law or a third-party provider. Upon termination, your right to use the Service ends, but provisions that by their nature should survive will continue to apply.

15. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, boardroi disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

16. Limitation of Liability

To the maximum extent permitted by law, boardroi will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, business interruption, loss of data, or cost of substitute services.

To the maximum extent permitted by law, boardroi's total aggregate liability for all claims relating to the Service will not exceed the amount paid by you to boardroi for the Service during the three months before the event giving rise to the claim, or USD 100 if no fees were paid.

17. Indemnity

You will defend, indemnify, and hold harmless boardroi from claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the Service, your breach of these Terms, your violation of law, or your infringement of third-party rights.

18. Governing Law

These Terms are governed by the laws of Lebanon, without regard to conflict-of-law rules, unless applicable mandatory law requires otherwise. The courts of Beirut, Lebanon will have exclusive jurisdiction, except that either party may seek urgent injunctive or equitable relief in any court of competent jurisdiction.

19. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice by email, in-product notice, or posting an updated version. Continued use of the Service after the effective date of updated Terms means you accept the changes.
